1. Agreement to terms

Welcome to Oria! These Terms of Service (the "Terms") govern your use of the Oria mobile app (the "App") and the oria-health.com website (the "Site"), together the "Service".

These Terms are a binding agreement between you and us. By downloading, installing or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

3. Description of the service

Oria is a fat-loss coaching app that lets you:

• get a personal plan for calories, macronutrients and steps;
• have this plan adjusted every week based on your results;
• log your meals by description, search, barcode scan or label photo;
• log your weigh-ins and track your progress;
• track your steps with Apple Health;
• talk with a coach powered by artificial intelligence;
• get meal suggestions that fit your goal.

Using the App requires a subscription (see section 8). We can change, add or remove features to improve the Service.

4. Eligibility

You must be at least 18 years old to use Oria. By using the App, you confirm that you:

• are at least 18 years old and legally able to enter into a contract;
• are not prohibited from using the Service under applicable law;
• were not previously removed from the Service.

5. Account and responsibilities

Your account

• You sign in with your Apple ID
• You are responsible for the security of your device and access to your account
• Tell us immediately if you think your account is compromised

Your commitments

You agree to:

• give accurate information (age, height, weight), because your plan depends on it;
• use the App only for personal, non-commercial purposes;
• comply with these Terms and applicable law.

6. Health disclaimer

IMPORTANT: Oria is NOT a medical device. Oria is not intended to diagnose, treat, cure or prevent any disease or medical condition.

Not medical advice

• The Service provides general nutrition, activity and wellness information. It does not replace advice, diagnosis or treatment from a doctor or a dietitian
• No doctor-patient relationship exists between you and Oria. The content in the App does not come from healthcare professionals
• Never ignore medical advice, and never delay seeing a doctor, because of information you saw in the App
• Do not rely only on the App to make your dietary decisions

Talk to a healthcare professional before you start if you:

• are pregnant or breastfeeding;
• have or had an eating disorder;
• have diabetes, a heart or kidney condition, or any other medical condition;
• take medication.

Apple Health data

The step count read from Apple Health is shown for information only. It does not replace medical monitoring by a healthcare professional.

Listen to your body

If you feel pain, discomfort, unusual fatigue or any other symptom after you change your diet or activity, stop and see a doctor. Recommendations are based on averages and may not fit your situation.

BY USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS HEALTH DISCLAIMER.

7. AI-powered features

The coach, meal estimates, label reading, meal suggestions and plan adjustments use artificial intelligence. You understand that:

• AI-generated content is produced automatically and can contain errors, approximations, omissions or biases;
• nutrition values are estimates. Real values vary with portion size, preparation and ingredients;
• the quality of the results depends on the accuracy of your input;
• AI-generated content is not medical advice;
• you must check important information before you make a health decision.

Your messages and descriptions are processed by third-party AI providers, as described in our Privacy Policy. Our AI providers do not keep your messages and do not use them for training.

8. Subscription and payments

Plans

Using Oria requires a monthly or yearly subscription (the "Subscription"). The price, length and content of each plan are shown in the App before purchase, taxes included.

Payment and automatic renewal

• Payment is charged to your Apple account when you confirm the purchase
• The Subscription renews automatically for the same length and at the same price, unless you turn off auto-renewal at least 24 hours before the end of the current period
• Your account is charged for renewal within the 24 hours before the end of the current period
• By confirming the purchase, you agree to these automatic renewal terms
• Your purchases are also subject to the Apple Media Services Terms and Conditions

Free trial

• A free trial can be offered. Its length is shown in the App before purchase
• One free trial per Apple ID
• When the trial ends, the paid Subscription starts automatically
• To avoid being charged, cancel at least 24 hours before the trial ends

Cancel your Subscription

Your Subscription is managed by Apple, not by Oria. To cancel it:

• open the Settings app on your iPhone;
• tap your name, then Subscriptions;
• select Oria and tap Cancel Subscription.

You keep access until the end of the current period. Deleting the App or your Oria account does not cancel your Subscription.

When your Subscription ends, you no longer have access to the App. Your data is kept until you delete your account: you get it back if you subscribe again.

Refunds

• Refunds are handled by Apple, under Apple's terms
• To request a refund: reportaproblem.apple.com
• No refund is given for a partly used period, except where the law or Apple's policies require it

Right of withdrawal

The Service is digital content supplied immediately after purchase. By confirming the purchase, you request immediate performance of the Service and acknowledge that you give up your 14-day right of withdrawal, under Article L221-28 of the French Consumer Code.

Price changes

We can change our prices. A new price applies only from your next renewal, after notice from Apple. You can cancel before it applies.

9. License

We grant you a limited, personal, non-exclusive, non-transferable and revocable license to download and use the App on Apple devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

This license does NOT allow you to:

• copy, modify or distribute the App;
• use the App for commercial purposes;
• transfer, rent or sublicense your rights;
• remove any copyright or proprietary notices.

10. Prohibited uses

You agree not to:

• break any law or regulation;
• decompile, disassemble or reverse engineer the App, except where the law allows it;
• try to gain unauthorized access to our systems or to other users' data;
• probe the vulnerability of the Service or get around its security measures;
• transmit malicious code or interfere with the operation of the Service;
• use bots or automated tools to access the Service or scrape its data;
• get around usage limits or Subscription payments;
• use the coach to produce illegal, hateful, violent, misleading or dangerous content;
• exploit a bug or vulnerability instead of reporting it to us;
• infringe the intellectual property rights of Oria or of third parties.

11. Your content and privacy

• You keep ownership of the content you create in the App: meals, weigh-ins, messages
• You grant us a limited license to host and process it, only to provide and improve the Service, for as long as your account exists

Our Privacy Policy explains what data we collect, how we use it, and what your rights are.

12. Intellectual property

The App, the Site and their content (text, visuals, logos, trademarks, code, knowledge base) belong to Oria or its partners. They are protected by copyright, trademark and other intellectual property laws.

Some nutrition data comes from Open Food Facts (ODbL license) and from the Anses Ciqual food composition table.

13. Third-party services

The Service uses third-party services, such as Apple Health and Open Food Facts. Their availability and operation depend on those third parties and their own terms. We are not responsible for their content or practices.

14. Feedback

If you send us ideas or feedback about the Service, we can use them freely to improve Oria, with no obligation to you.

15. Disclaimers

We do our best to provide a quality Service, but we do not guarantee that:

• the Service will always be available, uninterrupted or error-free;
• the Service will be free of viruses or other harmful components;
• all defects will be corrected;
• AI estimates and AI-generated content will be accurate or complete;
• you will reach a specific weight-loss result, because results depend on many individual factors.

This does not limit the statutory warranties you have as a consumer, including the legal guarantee of conformity for digital content and services (Articles L224-25-1 and following of the French Consumer Code).

16. Limitation of liability

To the maximum extent permitted by law:

• we are not liable for indirect damages, such as loss of unsaved data or loss of opportunity;
• we are not liable for the consequences of using the Service against these Terms or the health disclaimer;
• we are not liable for decisions that you make by relying only on the nutrition information in the App;
• we are not liable for interruptions caused by force majeure or by a third-party service.

Nothing in these Terms limits our liability for gross negligence, willful misconduct or personal injury, or your rights under the French Consumer Code.

17. Your liability

You are responsible for the damage you cause to Oria or to third parties by breaking these Terms or the law, including by infringing the rights of a third party.

18. Apple

If you downloaded the App from the App Store:

• these Terms are between you and Oria only, not with Apple. Oria, not Apple, is solely responsible for the App and its content;
• Apple has no obligation to provide any maintenance or support services for the App;
• if the App fails to conform to any applicable warranty, you can notify Apple, and Apple will refund the purchase price of the App, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the App;
• Oria, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims under consumer protection or privacy law;
• if a third party claims that the App infringes their intellectual property rights, Oria, not Apple, is responsible for the investigation, defense, settlement and discharge of that claim;
• you represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties;
• you must comply with applicable third-party terms when you use the App;
• Apple and its subsidiaries are third-party beneficiaries of these Terms and can enforce them against you.

19. Termination

By you

You can stop using Oria at any time:

• cancel your Subscription in your iPhone settings;
• delete your account in the App (Settings > Account > Delete account);
• delete the App from your device.

By us

We can suspend or close your account in case of:

• serious or repeated violation of these Terms;
• fraudulent or illegal activity;
• abuse of the Service, or actions that put its security at risk.

Except in an emergency or when the law requires otherwise, we will tell you in advance and give the reason. If we permanently shut down the Service, we will tell you at least 30 days in advance.

Effects of termination

• your license to use the App ends;
• you lose access to the App;
• if your account is deleted, your data is deleted as described in our Privacy Policy;
• provisions that by their nature must survive (intellectual property, liability, governing law) remain in effect.

20. Changes to these Terms

We can change these Terms. We will tell you about changes by:

• posting the new version on this page and updating its date;
• for significant changes, showing a message in the App at least 15 days before they take effect.

If you keep using Oria after that date, you accept the new Terms. If you do not accept them, you can cancel your Subscription and delete your account.

21. Governing law and disputes

These Terms are governed by French law.

Informal resolution

If there is a dispute, first write to hello@oria-health.com. We will try to find a solution within 30 days.

Courts

If no amicable solution is found, you can bring the dispute before the competent court, including the court of your place of residence. You keep your rights under the French Consumer Code.

22. General provisions

• Severability: if a provision is found invalid, the other provisions remain in effect
• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Oria about the Service
• No waiver: if we do not use a right at a given time, we do not give it up
• Assignment: you cannot transfer these Terms. We can transfer them in a merger, acquisition or sale, without reducing your rights
